Terms of Service

These Terms of Service ("Terms") govern your use of ClearSum. By creating an account, selecting the acceptance checkbox, or using the service, you agree to these Terms and acknowledge the Privacy Policy. If you act for an organisation, you confirm that you have authority to bind it; "you" includes that organisation.
1. The service
ClearSum is AI-assisted bookkeeping software. It can read information from services you connect, analyse files and messages, prepare drafts, answer questions, and carry out authorised accounting or email actions. Your accounting platform remains the system of record. Features may vary by plan, provider, country, and product stage.
2. Eligibility, accounts, and administrators
- You must be at least 18 and use ClearSum for lawful business purposes.
- Account information must be accurate, credentials must be kept confidential, and suspected unauthorised access must be reported promptly.
- You are responsible for activity under your account and for users you invite. Company owners and administrators may manage access, connected accounts, and company data.
- You must have all rights and permissions needed to provide data about employees, customers, suppliers, or other people to ClearSum.
3. Your data and instructions
You retain your rights in data you submit or connect ("Customer Data"). You grant ClearSum and its service providers a worldwide, non-exclusive licence to host, copy, transmit, display, analyse, and otherwise process Customer Data only as needed to provide, secure, support, and improve the service for you, meet legal obligations, and follow your authorised instructions.
You instruct and expressly authorise ClearSum to disclose relevant Customer Data to the infrastructure and AI providers described in the Privacy Policy, and to read from or write to connected QuickBooks, Xero, and Gmail accounts within the permissions you grant. This authorisation includes accounting records, documents, email content and attachments, prompts, and relevant conversation context.
4. Connected services
- You choose which third-party accounts to connect and are responsible for complying with their terms.
- Connection permissions can allow ClearSum to create or change records. ClearSum acts only through product features and authorised user or administrator instructions.
- You can disconnect a provider in Settings → Integration. A company may share a Gmail grant with another company; disconnecting removes the current company's access and revokes the underlying grant when no other company uses it.
- Third-party services control their own availability, data, and security. Their outage, API change, or suspension may limit ClearSum.
5. AI output and professional review
AI-generated text, extracted fields, matches, classifications, and proposed entries may be incomplete or wrong. You are responsible for reviewing outputs, approvals, filings, payment instructions, and changes to your books. ClearSum does not provide accounting, audit, tax, investment, or legal advice and is not a substitute for a qualified professional.
6. Acceptable use
You must not:
- Use the service unlawfully, deceptively, or to process content you have no right to use.
- Access or attempt to access another customer's account or data.
- Probe or test security without written permission, introduce malware, evade limits, or interfere with service operation.
- Reverse engineer or copy protected portions of the service except where applicable law cannot prohibit it.
- Resell, sublicense, or use ClearSum to provide a competing service unless a written agreement permits it.
- Use outputs as the sole basis for decisions that produce legal or similarly significant effects on a person.
7. ClearSum intellectual property
ClearSum and its licensors own the service, software, branding, designs, and documentation. Except for the limited right to use the service during your subscription, no rights are transferred. You may use outputs generated for you, subject to your rights in the inputs and any law or third-party rights. If you provide feedback, you permit us to use it without restriction or payment, but we will not identify you publicly without permission.
8. Plans, fees, and taxes
If you purchase a paid plan, price, billing cycle, included usage, and any trial terms are shown at checkout or in an order form. Fees are billed in advance and are non-refundable except where required by law or expressly stated. You are responsible for applicable taxes. We will give reasonable advance notice of a price change that applies at renewal. Overdue accounts may be suspended after notice.
9. Confidentiality and security
Each party will protect the other's non-public confidential information using reasonable care and use it only for the relationship, except where disclosure is authorised or legally required. ClearSum uses administrative, technical, and organisational safeguards described in the Privacy Policy, but no online service can guarantee absolute security.
10. Availability and changes
We aim to keep ClearSum available but do not guarantee uninterrupted or error-free operation. We may change, suspend, or discontinue features for security, legal, provider, or product reasons. We will provide reasonable notice when a material change adversely affects a paid customer, where practical. Preview or beta features may be changed or withdrawn at any time.
11. Suspension and termination
You may stop using ClearSum, disconnect providers, and delete a company at any time. We may suspend or terminate access for material breach, security risk, non-payment, unlawful use, or a legal requirement. Where reasonable, we will notify you and allow an opportunity to cure. Export anything you need before deletion. Data is handled after termination as described in the Privacy Policy.
12. Disclaimers
To the extent permitted by law, ClearSum is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that AI output, connected-service data, or accounting treatment is correct. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
13. Liability
To the extent permitted by law, neither party is liable for indirect, consequential, special, exemplary, or punitive loss, or for lost profits, revenue, goodwill, or data. ClearSum's aggregate liability arising from the service is limited to the fees you paid ClearSum for the affected service in the twelve months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, infringement of the other party's intellectual property, breach of confidentiality, or liability that law does not permit a party to limit.
14. Changes to these Terms
We may update these Terms. We will post the new version and provide advance notice of material changes. Where appropriate, ClearSum will require you to review and accept a new version before continuing. Changes do not apply retroactively unless required by law.
15. General terms
These Terms and any applicable order form are the entire agreement about the service and replace earlier discussions about it. If there is a conflict, an order form controls for that order. Neither party may assign the agreement without the other's consent, except in connection with a merger, reorganisation, or sale of substantially all relevant assets. Failure to enforce a term is not a waiver. If a term is unenforceable, the rest remains effective. Provisions that by their nature should survive termination do so.
16. Contracting entity, law, and disputes
An order form or other written agreement may identify the ClearSum contracting entity, governing law, and courts for a customer. If it does, those details apply. If it does not, these Terms do not override mandatory law and a claim may be brought in a court that has jurisdiction. Before filing a claim, each party will first try in good faith for 30 days to resolve it through the contact below, unless urgent injunctive relief is needed.
